Terms of Service

These Terms of Service ("Terms") govern your use of Equerry, a personal-memory assistant for iOS operated by Equerry Labs Inc., a Delaware corporation ("Equerry," "we," "us"). By creating an account or using the app, you agree to these Terms.

1. The service

Equerry is an iOS application and accompanying server infrastructure that lets you save personal content (notes, voice memos, photos, PDFs, forwarded emails), search across it, ask an assistant questions about it, and run scheduled "Routines" against it. The service depends on third-party large language model vendors; details are in our AI Disclosure.

2. Eligibility

You must be at least 17 years old and able to form a binding contract under the laws of your jurisdiction. If you are using Equerry on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Your account

You sign in with Sign in with Apple. You are responsible for keeping access to your Apple ID secure. Notify us at support@getequerry.app if you believe your account has been used without your permission.

4. Subscriptions and payment

Equerry offers a paid subscription, currently priced at $29.99 per month or $249 per year. New accounts include a free in-app demo so you can try Equerry before subscribing. Pricing in your local currency is displayed by Apple at purchase.

All payments are processed by Apple through your App Store account. We do not see your payment information. Your subscription auto-renews unless you cancel at least 24 hours before the end of the current period. You can cancel anytime in Settings → Subscriptions on your iPhone.

Apple manages refunds. To request one, use reportaproblem.apple.com. We honor whatever decision Apple reaches.

5. Boost purchases

Equerry offers in-app "Boost" purchases that increase your monthly usage limit when it has been exhausted. Boosts are one-time consumable purchases and are not refundable once consumed. Apple's standard refund policy applies to unconsumed Boosts.

6. Apple Family Sharing

Equerry Pro supports Apple Family Sharing. The subscription organizer and up to five family members share one monthly usage pool, but each member's archive, Routines, and chats are private to that member. Boost purchases are made and consumed by the individual buyer.

7. Acceptable use

You agree not to:

• Upload content that is illegal, infringing, or that you do not have the right to share.
• Use Equerry to harass, threaten, defame, or harm any person.
• Attempt to reverse-engineer, scrape, or abuse the service in a way that disrupts it for others.
• Use the service to generate content that violates the policies of the underlying LLM vendors.
• Resell or sublicense the service to third parties.

We may suspend or terminate accounts that violate these rules, with notice when reasonable.

8. Your content

The content you save in Equerry is yours. You grant Equerry a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display that content solely for the purpose of operating the service for you. This license ends when you delete the content or close your account.

We do not use your content to train AI models — ours or anyone else's — and we require the same of our vendors.

9. AI-generated answers

Equerry uses large language models to summarize, classify, and answer questions about your content. LLM output can be incomplete or wrong. We design the product to cite sources so you can verify answers, but you are responsible for the actions you take based on those answers. Equerry will never send emails, make purchases, schedule events, or take other consequential actions on your behalf without explicit per-action confirmation.

10. Service availability

We work to keep Equerry available and performant, but the service is provided "as is" and "as available." We do not warrant uninterrupted operation. Planned maintenance and unexpected outages can occur. Your locally-stored iCloud content remains accessible to you regardless of server availability.

11. Disclaimers

To the maximum extent permitted by law, Equerry disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Equerry does not warrant that the service will meet your requirements or that LLM outputs will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, Equerry's total aggregate liability for any claim arising out of or relating to the service is limited to the greater of (a) the amount you have paid Equerry in the twelve months preceding the claim, or (b) one hundred US dollars ($100). Equerry is not liable for indirect, incidental, special, consequential, or punitive damages.

13. Indemnification

You agree to defend and indemnify Equerry against any third-party claim arising from content you upload in violation of these Terms or from your misuse of the service.

14. Termination

You can stop using Equerry at any time by canceling your subscription and deleting the app. To remove your server-side data, use Settings → Delete Account. We may suspend or terminate accounts that violate these Terms or remain inactive for an extended period; in either case we will give reasonable notice when possible.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved through good-faith discussion will be resolved by binding individual arbitration in Delaware under the rules of the American Arbitration Association, except that either party may bring an individual action in small-claims court. You waive the right to participate in class actions. If any provision of this section is found unenforceable, the remainder of these Terms remains in effect.

If you live in the European Union, the United Kingdom, or another jurisdiction whose law grants you mandatory consumer protections that override the above, those protections apply and the courts of your country of residence may have jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the app at least 30 days before they take effect. Your continued use of the service after a change constitutes acceptance of the new Terms.
